Terms of Service

These Terms govern your access to and use of the websites, platforms and professional filing services operated by Gullia Filing LLC ("Gullia Filing", "we", "us" or "our"). Please read them carefully before purchasing or using any of our services.

1. Acceptance of Terms

By creating an account, placing an order, or using any service or content provided by Gullia Filing (collectively, the "Services"), you agree to be bound by these Terms, our Privacy Policy, and any additional order forms, statements of work or jurisdiction-specific addenda referenced at checkout. If you are using the Services on behalf of an entity, you represent that you are authorised to bind that entity to these Terms.

2. Eligibility & Account Registration

You must be at least 18 years old and legally able to enter into a binding contract. You agree to provide accurate, current and complete information during registration and to keep that information up to date. You are responsible for all activity that occurs under your account, including the security of your credentials.

3. Description of Services

Gullia Filing provides business formation, registered agent, annual compliance, tax and accounting, virtual office, EIN and tax ID, beneficial ownership reporting, and related administrative filing services across the United States, United Kingdom, Canada and the United Arab Emirates. Specific deliverables, turnaround times and jurisdictions are described on the relevant product page and in your order confirmation.

4. No Attorney-Client or Tax Advisor Relationship

Gullia Filing is not a law firm, accounting firm, or licensed tax advisor and does not provide legal, tax or financial advice. Our filing analysts execute the instructions you give us and prepare paperwork based on the information you provide. Use of the Services does not create an attorney-client, accountant-client or fiduciary relationship. For advice specific to your situation, you should consult a qualified professional in your jurisdiction.

5. Fees, Government Charges & Refunds

  • Service fees are the amounts payable to Gullia Filing for our professional work and are listed in the order summary at checkout.
  • Government and third-party fees (state filing fees, Companies House, CRA, MOA, expedited handling, courier, apostille, notarisation, etc.) are pass-through charges set by the relevant authority and are non-refundable once submitted.
  • You may request a refund of our service fee within 7 days of purchase, provided we have not yet started preparation of your filing. Once drafting, signing or submission has begun, service fees are no longer refundable.
  • Recurring services (registered agent, virtual office, annual compliance, bookkeeping) renew automatically until cancelled with at least 30 days' notice prior to the renewal date.

6. Client Information & Obligations

You are solely responsible for the accuracy, completeness and lawfulness of the information you submit, including names, addresses, ownership percentages, identity documents and beneficial ownership declarations. We rely on the information you provide and are not responsible for rejections, penalties or delays caused by incorrect or incomplete information.

7. Registered Agent & Mail-Forwarding Services

Where you appoint Gullia Filing as your registered agent or mail-forwarding provider, we will accept service of process and official correspondence on your behalf and forward it to the address on file. You must maintain a valid contact email and physical address. We may resign as registered agent on 30 days' written notice if fees are unpaid or if continued service would breach applicable law.

8. Third-Party Services & Government Agencies

The Services depend on third-party platforms, payment processors and government agencies that operate independently of Gullia Filing. We are not responsible for outages, processing times, policy changes, rejections or fees imposed by any third party or government authority.

9. Intellectual Property

All content, software, trademarks, templates and documentation provided through the Services are owned by Gullia Filing or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use them solely for your internal business purposes. Documents prepared specifically for your entity become yours upon full payment.

10. Acceptable Use

You agree not to use the Services to:

  • violate any applicable law, sanction, export control or regulation;
  • file false, misleading or fraudulent information with any government authority;
  • facilitate money laundering, terrorist financing, tax evasion or any other financial crime;
  • infringe the intellectual property, privacy or other rights of any person; or
  • interfere with, probe, scrape or disrupt the Services or the servers and networks that host them.

11. Confidentiality

Each party will protect the other's non-public business information with the same degree of care it uses to protect its own confidential information, and at minimum with reasonable care. We will not disclose your information except as required to perform the Services, to comply with law, or as permitted by our Privacy Policy.

12. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GULLIA FILING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT GOVERNMENT AUTHORITIES WILL ACCEPT ANY PARTICULAR FILING WITHIN A SPECIFIC TIMEFRAME.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GULLIA FILING'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT OF SERVICE FEES PAID BY YOU TO GULLIA FILING IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE OR LOST DATA.

14. Indemnification

You agree to defend, indemnify and hold harmless Gullia Filing and its officers, directors, employees and agents from and against any claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) the information you submit through the Services, or (c) your violation of any applicable law or third-party right.

15. Suspension & Termination

We may suspend or terminate your access to the Services if you breach these Terms, if required by law, or if continued provision would expose us to liability. You may cancel optional recurring services at any time from your account or by contacting support. Sections that by their nature should survive (including fees owed, intellectual property, disclaimers, liability and governing law) will survive termination.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Wilmington, Delaware, and conducted in English. You and Gullia Filing waive any right to a jury trial and any right to participate in a class action. This clause does not prevent either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property rights.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email or through an in-app notice at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
